Terms and Conditions
These Terms and Conditions ("Terms") govern your use of the VibeCart platform. By using VibeCart, you agree to these Terms.
1. Eligibility and Account Responsibilities
You must be at least 18 years old, or the age of majority in your jurisdiction, to use features that involve financial transactions or binding agreements. You are responsible for keeping your login details safe, for all activity under your account, and for ensuring your use of VibeCart is lawful under the laws that apply to you.
2. Marketplace, Barter and Off-Platform Bypass
VibeCart provides tools for buying and selling legal goods and services, bartering goods and services between users, and enabling shipping and logistics through third-party providers.
- Users must not move transactions off-platform in order to avoid escrow, logistics or platform fees ("bypass transactions").
- Attempting to complete deals entirely off-platform after being matched through VibeCart is prohibited and may result in limited access, temporary suspension, or permanent removal from the platform.
- Escrow-style flows and managed logistics via third-party providers are available only for transactions completed through approved flows on the platform.
- Off-platform or private arrangements are not covered by VibeCart protections.
3. Campaigns, Backing and Crowdfunding-Style Features
VibeCart may offer features where users can support campaigns, projects, or inventory for goods and services ("Campaigns").
- Unless clearly stated in a separate, legally compliant offering document, Campaigns are intended as support, pre-order or reward-style contributions, not as the sale of regulated securities or company shares.
- VibeCart does not offer regulated investments, company equity, guaranteed financial returns, dividends or profit participation through standard Campaign features.
- Campaigns and user access may be limited, paused or rejected for legal, risk or compliance reasons at the sole discretion of the platform owner.
4. AI, Automation and Recommendations
VibeCart uses AI and automated systems to recommend products and barter matches, provide "AI Opportunity & Demand Scout" insights, monitor for suspicious activity, and generate operational suggestions for marketing, pricing, security and product improvements.
- AI output and analytics are assistive only and do not replace human judgment or professional advice.
- Final decisions on crucial matters, including account suspension, campaign approval, money movement, legal/compliance settings and enforcement actions, are made by human owners or authorized staff of VibeCart.
- Information and analytics provided by VibeCart, including AI recommendations, are for general information only and do not constitute legal, tax, financial or investment advice.
5. AI Opportunity & Demand Scout
The "AI Opportunity & Demand Scout" provides informational insights about possible demand for goods and services across regions to help users decide what to list or promote.
- These insights are for product discovery and planning only and do not guarantee any level of sales or profit.
- Users remain responsible for their own business decisions and for complying with all applicable laws and regulations.
6. Legal and Regulatory Compliance
- Users agree to use VibeCart only for lawful purposes and in compliance with all applicable laws in both the origin and destination of any goods or services.
- Users are solely responsible for the legality of items listed and traded, any licenses or permits required, and for all taxes, customs and import/export rules that apply to their transactions.
- VibeCart may block, suspend or remove listings, campaigns or accounts, restrict features in certain jurisdictions, or report suspected unlawful activity to authorities where it reasonably believes there is illegal conduct, high regulatory risk or breach of these Terms.
7. Security and Fraud Prevention
- VibeCart uses security controls such as encryption, monitoring, risk scoring and manual review to help detect and limit fraud, abuse and unauthorized access.
- No online system can guarantee absolute security. Users should use strong passwords, enable available security features, and promptly report any suspected unauthorized access or suspicious activity.
8. Limitation of Liability
- To the maximum extent permitted by law, VibeCart and its owner are not liable for indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising from your use of the platform.
- To the maximum extent permitted by law, users agree to indemnify and hold the platform owner harmless from claims, losses, liabilities, damages, costs and expenses arising out of user violations of law or these Terms.
9. Changes to These Terms
VibeCart may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify users, for example by updating the date at the top of this page or by in-app notice where appropriate. Your continued use of the platform after any update means you accept the revised Terms.
10. Governing Law
The specific governing law and venue for disputes should be defined by your lawyer based on your company registration and operations. Until then, these Terms are provided as a working template and do not replace professional legal advice. You should obtain tailored legal advice before relying on this document for production use.
